Michael is the founder of The Schinner Law Group. A respected attorney, professor and author, Michael draws upon nearly 15 years of legal experience to assist individuals and emerging growth companies in all facets of business.
He began his legal career with the San Francisco law firm Bancroft, Avery & McAlister, and later joined Steefel, Levitt & Weiss, a 65-attorney firm in San Francisco, where he worked with several nationally recognized corporate and tax attorneys. In 1999, Michael followed the lead of many of his start-up clients and formed his own firm. In four years, The Schinner Law Group has grown to nine attorneys, with offices in San Francisco and Sacramento.
Michael offers his clients a broad range of business and tax-related services, including entity formation, raising capital, and structuring employment and deferred compensation arrangements. He is certified as a specialist in Taxation Law by the State Bar of California Board of Legal Specialization. He has formed literally hundreds of corporations and limited liability companies, and has emerged as a recognized leader in the area of LLCs, particularly with respect to the use of:
- LLC syndicates for real estate projects
- LLCs to hold venture capital funds
- Single member LLCs for personal asset protection
- LLCs as part of tax-deferred exchanges
- Multi-series LLCs for individuals with large real estate portfolios
- Family LLCs as an estate planning vehicle.
He recently gave presentations on cutting edge strategies involving LLCs before the State Bar of California and the Bar Association of San Francisco, and he published a Chapter on Delaware Series LLCs in the leading LLC treatise in California.
Michael assists his corporate clients in raising capital through a variety of vehicles, including private placements, venture capital financing and direct public offerings. He is fully experienced in all aspects of corporate finance, acquisitions, mergers, recapitalizations, reorganizations, divestitures and corporate liquidations and dissolutions.
Michael has successfully represented taxpayers before the Internal Revenue Service, California Franchise Tax Board, California State Board of Equalization, and California Employment Development Department. He has litigated matters in the U.S. Tax Court and other federal and state administrative agencies and courts.
Michael is also an adjunct professor at Golden Gate University in the Masters of Law in Taxation program, where he has taught courses on S corporations and limited liability companies for nearly 10 years. Further, he developed and teaches a course exploring legal issues in e-commerce in Golden Gate University's MBA program. As an instructor, Michael stays abreast of developments in the law, and uses this knowledge to help his clients implement innovative legal solutions.
Michael has published numerous business and tax related articles in leading law journals such as California Business Law Practitioner (CEB), Journal of Taxation, Journal of S Corporation Taxation, American Journal of Tax Policy, California Tax Lawyer, Commercial Law Journal, and Trademark World.
Michael recently retired after 21 years of service as a Major in the Judge Advocate General Corps of the U.S. Army Reserves. Michael is married to Miyoko Schinner, renowned vegetarian chef and author. They live in Mill Valley with their three children Aki, Seraphina and Camellia. As general counsel to many emerging growth companies, Michael understands their need for practical, efficient, cost-effective and timely legal services.
