Frederick Koenen is the Chair of The Schinner Law Group's Corporate/Securities and Emerging Company Practice Group. Mr. Koenen joined The Schinner Law Group in September 2004, having previously been a partner in the San Francisco office of the 1,000 attorney firm, Foley & Lardner LLP.
Mr. Koenen's legal career has spanned more than 18 years, during which he has represented clients ranging in size from small start-ups to Fortune 500 companies. As a member of The Schinner Law Group team, Mr. Koenen brings to his clients large law firm expertise and focus on quality legal work as well as the flexibility, lower cost structure and individual attention that a smaller firm such as The Schinner Law Group can provide
The principal areas of Mr. Koenen's practice are the following:
- Formation of business organizations, with an emphasis on the special needs of internet, technology and life science companies
- Representation of clients in connection with private placements and venture capital financings
- Intellectual property licensing transactions, including the use of these transactions as a means of raising capital
- Securities law compliance for public and pre-public companies, including the new requirements and burdens imposed on public companies under the Sarbanes- Oxley Act
- Representation of shareholders of privately-held companies and owners of Rule 144 "restricted securities" who wish to sell or otherwise liquidate their shares in full compliance with securities laws.
Mr. Koenen is a frequent speaker and lecturer on securities law issues as they relate to the needs of smaller private and public companies. Interviews with Mr. Koenen on developments in securities laws, with particular emphasis upon the impact of these laws on smaller public companies, have appeared in national and regional publications.
